Terms of Service

By using Delegate (operated by Tobination LLC), you agree to these terms. Read them. They cover what we provide, what you pay, what happens if something goes wrong, and how disputes work.
1. What Delegate provides
Delegate is an AI-generated workforce audit. You submit information about your business, roles, and tasks; we generate a structured analysis identifying which tasks AI can fully or partially handle, recommending specific tools, and providing a 90-day implementation roadmap. The audit is informational. It is not consulting, implementation services, legal advice, financial advice, or a guarantee of outcomes.
2. Pricing and refunds
- Audit: $149 one-time. The audit is delivered within minutes of intake submission.
- Pulse: $19/month recurring. Cancel anytime via the Customer Portal accessible from your audit page; cancellation takes effect at the end of the current billing period.
- Refunds: All sales final. We will review refund requests case by case for technical failures (audit not delivered, broken output, payment processing errors) submitted within 30 days of purchase through our contact form. Pulse subscriptions are not pro-rated; if you cancel mid-period, access continues through the end of the billing period.
3. Payment processing
Payments are handled by Stripe. By making a payment, you authorize Stripe to charge your selected payment method per Stripe's terms.
4. Your data and content
You retain ownership of the information you submit. We retain ownership of our methodology, scoring framework, prompt engineering, and software. The audit itself — generated specifically for you using your data — is licensed to you for unlimited internal use within your business. You may not resell or republish your audit as a service offering to third parties without written permission.
5. Acceptable use
You agree not to:
- Use Delegate to generate audits about businesses you don't own or control
- Reverse engineer the methodology or rebuild Delegate as a competing service
- Submit knowingly false or misleading intake information
- Abuse the system (rate limit evasion, automated scraping, etc.)
- Use Delegate in violation of any law
We can terminate accounts that violate these rules without refund.
6. Recommendations and outcomes
Audit recommendations are generated by AI based on the information you provide. They are not vendor endorsements. We do not take affiliate fees from any tool we recommend. You are responsible for evaluating recommendations against your own business context, regulatory requirements, and risk tolerance. Outcomes from implementing — or not implementing — our recommendations are your responsibility. We do not guarantee any specific time savings, cost savings, or business results.
7. Limitations of liability
To the maximum extent permitted by law, Tobination LLC's total liability for any claim arising from your use of Delegate is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including lost profits or business interruption. Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
8. Service availability
We provide Delegate on an "as-is" basis without service-level guarantees. We aim for high uptime but don't promise it. We may modify, suspend, or discontinue features with reasonable notice.
9. Intellectual property
The Delegate name, logo, methodology, scoring framework, prompts, and software are owned by Tobination LLC. You may not copy, modify, or create derivative works of these without written permission.
10. Indemnification
You agree to indemnify Tobination LLC against any claims arising from your misuse of Delegate, your violation of these terms, or your violation of third-party rights.
11. Governing law and disputes
These terms are governed by the laws of the State of South Dakota, where Tobination LLC is registered. Disputes will be resolved through binding arbitration in South Dakota under the rules of the American Arbitration Association, except for small claims and intellectual property matters which may be brought in court.
12. Changes to these terms
We may update these terms. If we make material changes, we'll notify you at the email address you used for purchase. Continued use after notice constitutes acceptance.
